Explanation:
On September 1, 2021, the City Commission passed and adopted Resolution No. R-2021-208, approving and authorizing the appropriate City officials to execute continuing service agreements ("Original Agreement") with various engineering firms to provide various engineering services, one of them being Langan Engineering and Environmental Services, Inc. ("Langan") to provide Environmental Engineering Services. The Professional Continuing Services Agreement was renewed for the 1st of two renewal periods on July 29, 2024.
However, Langan filed a Certificate of Conversion with the State of New Jersey Department of Treasury on January 8, 2024 for conversion from a New Jersey Corporation to a New Jersey Limited Liability Company or more specifically from Langan Engineering and Environmental Services, Inc. to Langan Engineering and Environmental Services, LLC.
Langan filed an Application by Foreign Limited Liability Company for Authorization to Transact Business in Florida on February 5, 2024.
The attached First Amendment accomplishes a change of Langan's name only and all rights and obligations of the City and of the Consultant under the Original Agreement are unaffected by this change.
