Explanation:
On October 2, 2019, pursuant to Resolution R-CRA 2019-51, the CRA Board authorized the appropriate CRA officials to rank firms and execute an agreement with the highest ranked firm, Stephen H. Gibbs Land Surveying Inc. (“Gibbs”) to provide surveying and mapping services for the Phase IV East/West streets and State Road A1A project.
On November 5, 2019, the CRA executed a surveying and mapping services agreement with Gibbs. The professional services under the agreement are to be on an “as need basis” with a cumulative amount of fees shall not exceed $1,000,000.00.
On November 18, 2024, the CRA was informed that Gibbs was negotiating the sale of its corporation to Ritzel-Mason, Inc. (“RM”). On December 30, 2024, Gibbs sold and assigned all its rights, title, interest and accounts receivable to RM. Since RM has all the file records of the beach and will assume the contract’s terms and conditions it is in the best interest of the CRA to assign the surveying and mapping services agreement to RM. Pursuant to Section 9.05 of the agreement, the agreement cannot be transferred or assigned without the written consent of the CRA Board.
The Executive Director of the CRA recommends that the CRA Board consent to the assignment of the surveying and mapping services agreement to RM.
Fiscal Impact:
Approval of this resolution will not fiscally impact the CRA as this is a proposal to reassign the agreement for surveying and mapping services with Stephen H. Gibbs Land Surveying inc. to Ritzel-Mason, Inc.
