Explanation:
On February 4, 2026, the City Commission approved Resolution No. R-206-043, authorizing a purchase order to Pantropic Power, Inc. (Pantropic) for the repair of Generator No. 2, including all required components, parts, labor, and warranty coverage.
Following issuance of Purchase Order PFY-2601225, Pantropic requested that several additional terms and conditions be incorporated into the agreement. These requested provisions include:
• Warranty - Amending language to include that the goods will be new or factory re-manufactured components.
• Order of Precedence - Revising the governed order of precedence: a) Terms & Conditions; b) Quote; c) Purchase Order; and d) any other documents incorporated by reference
• Breaker/Testing - “Breaker Testing” has been added to strengthen the City’s protections and ensure the equipment is safe before it is placed back into service. This testing will confirm that the breaker operates properly and works correctly with the system before the repaired equipment is commissioned. The City of Hollywood will complete and document this breaker testing. After that, City staff and Pantropic will work together to start up the generator and perform a controlled transfer of load to confirm the generator can properly accept and maintain the required load under normal operating conditions. The City will coordinate scheduling, site access, safety requirements, and any needed outage notifications, while Pantropic will provide the technical support and procedures for the testing.
• Waiver of Jury Trial - Both parties waive their rights to a jury trial
The Department has evaluated the requested changes in relation to the generator repair scope, including the vendor’s concerns regarding breaker functionality and related inspection and testing needs, which were communicated during negotiations with the vendor’s counsel.
After internal review, the Director of Public Utilities recommends that the City Commission approve the additional terms and conditions so they may be formally added to the existing purchase order and included in the legislative backup. Approval of these provisions will allow the repair project to move forward without further delay and ensure that all contract terms reflect both operational needs and vendor requirements.

Funding for this project was included in the amended FY2026 Capital Improvement Plan, and is available in account number 442.409903.53600.563016.001945.000.000.
