Explanation:
BOZ Hollywood Bread Owner, LLC is the owner and developer of the mixed-use development known as the Bread Building, located at the southeast corner of State Road 5 (South Federal Highway/U.S. 1) and South Young Circle. The project consists of 326 residential units and ground-floor commercial space, including the future relocation of Walgreens from its current downtown location.
As part of the City’s original development approval, the owner was required to install landscape, irrigation, root barriers, streetlights, specialty concrete pathways, ramps, steps, curbing, and site furnishings within the State Road 5 and South Young Circle rights-of-way under the jurisdiction of the Florida Department of Transportation (“FDOT”). There was also the need to accommodate the relocation of the existing Walgreens with at-grade parking, commonly referred to as the Parking Pod fronting Young Circle. The City is currently pursuing a separate lease agreement with FDOT to lease this area.
The Maintenance Agreement, attached as Exhibit 1, establishes the maintenance responsibilities of the Owner for the improvements installed within the FDOT rights-of-way. The agreement outlines the parties’ understanding regarding the improvements, confirms that the Owner will maintain all improvements at no cost to the City and acknowledges the anticipated future agreement related to the parking pod.
FDOT limits maintenance agreements to public agencies and therefore enters into Maintenance Memorandums of Agreement (“MMOAs”) with municipalities. Municipalities may subsequently assign maintenance and liability responsibilities to adjacent property owners when appropriate.
Accordingly, the improvements associated with this project will be incorporated into the City’s existing Inclusive Landscape MMOA with FDOT through Amendment No. 20, attached as Exhibit 2.
The City’s original Inclusive Landscape MMOA with FDOT was approved and adopted in 2013 pursuant to Resolution No. R-2013-027.
The project is currently operating under a Second Temporary Certificate of Occupancy while pursuing a permanent Certificate of Occupancy. Approximately 85% of the residential units are occupied, the Walgreens buildout is expected to be completed later this summer and other commercial leasing opportunities remain available.

Fiscal Impact:
Approval of this resolution will not fiscally impact the City as this is a proposal to execute Amendment No. 20 to The Inclusive Landscape Memorandum Agreement with FDOT to include landscape and related improvements made by BOZ Hollywood Bread Owner, LLC.
